My LLC was dissolved or formed in the wrong state. Can it be fixed?
Short answer
Usually, yes. A dissolved or forfeited LLC can often be reinstated by filing the missing reports and paying back fees, and an LLC formed in a different state from where you live can be registered in your home state or replaced with one there.

If your LLC was dissolved or forfeited
This usually happens after a missed annual report or franchise tax filing. To fix it:
- Check your LLC's status with your state's Secretary of State.
- File the missing reports and pay any fees or back taxes.
- Some states also ask for a tax clearance letter before reinstating.
- Watch the deadline. Many states only allow reinstatement within a set window.
If your LLC is in the wrong state
Creators often form an LLC in a state like Delaware, Wyoming or a state they used to live in. If you live and work somewhere else, you usually need to register the LLC in your home state as well, or form a new one there. Moving states later works the same way.
Why it matters for taxes: an S-Corp election needs an LLC in good standing, and a lapsed LLC may not protect you at all.
Reinstatement and registration are quoted separately from your plan. State fees are yours.
